1. Acceptance of Terms

By accessing or using any website, application, or online service operated by Marotino (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and the applicable Marotino entity identified in Section 11 below ("Marotino", "we", "us", or "our").

2. Services

Marotino provides technology consulting and engineering services, including but not limited to:

• Custom software development and architecture
• Artificial intelligence and machine learning engineering
• Web and mobile application development
• Dedicated team augmentation and staff extension
• Software-as-a-Service (SaaS) products and platforms
• Technical strategy, discovery, and advisory engagements

The Platform serves as an informational resource about Marotino's capabilities and offerings. Specific project engagements, deliverables, and service-level commitments are governed by separate written agreements between Marotino and its clients.

3. Eligibility

You must be at least eighteen (18) years of age or have reached the age of legal majority in your jurisdiction, whichever is greater, to access or use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into binding agreements.

If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and all references to "you" shall include both you individually and that organization.

4. Intellectual Property

All content available on the Platform — including but not limited to text, graphics, logos, trademarks, service marks, icons, images, illustrations, source code, software, designs, page layouts, data compilations, and audiovisual materials — is the exclusive property of Marotino or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any materials on the Platform without the prior written consent of Marotino, except as follows:

• Your browser may temporarily cache copies of materials in the ordinary course of accessing the Platform.
• You may print or download one copy of a reasonable number of pages for your own personal, non-commercial, informational use.

5. Acceptable Use

You agree not to use the Platform in any manner that:

• Violates any applicable local, national, or international law or regulation
• Attempts to gain unauthorized access to any portion of the Platform, other users' accounts, computer systems, or networks connected to the Platform
• Involves the use of automated tools, bots, scrapers, crawlers, or similar technologies to extract, harvest, or collect data from the Platform without Marotino's express written permission
• Reverse-engineers, decompiles, disassembles, or otherwise attempts to derive the source code or underlying structure of any software or technology used on the Platform
• Introduces viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful
• Impersonates or misrepresents your affiliation with any person or entity
• Interferes with or disrupts the integrity or performance of the Platform or the data contained therein
• Engages in any activity that could damage, disable, overburden, or impair the Platform's servers or networks

Marotino reserves the right to terminate or restrict your access to the Platform at any time, without notice, for any conduct that Marotino, in its sole discretion, believes violates these Terms or is harmful to other users, Marotino, or third parties.

6. User Submissions

When you submit information through the Platform — including through contact forms, inquiry forms, newsletter sign-ups, or any other interactive features — you grant Marotino a non-exclusive, royalty-free, worldwide license to use, store, and process that information for the purposes of responding to your inquiry, delivering our services, and improving the Platform.

Marotino handles all personal data collected through user submissions in accordance with our Privacy Policy. We will not sell your personal data to third parties.

7. Third-Party Links

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by Marotino. We provide these links solely as a convenience and do not endorse, warrant, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Marotino shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any third-party websites or services.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Marotino disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Without limiting the foregoing, Marotino does not warrant that the Platform will be available at all times, uninterrupted, secure, or error-free; that results will be accurate, reliable, or complete; that any defects will be corrected; or that the Platform is free of viruses or other harmful components.

Nothing in these Terms shall exclude or limit warranties that cannot be excluded or limited under applicable law, including consumer protection laws of the European Union or its member states.

9. Limitation of Liability

9.1 General Limitation

To the maximum extent permitted by applicable law, in no event shall Marotino, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Platform.

9.2 Aggregate Cap

Marotino's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of (a) one hundred United States dollars (USD $100) or (b) the amounts paid by you to Marotino, if any, during the twelve (12) months immediately preceding the event giving rise to the claim.

9.3 EU and Middle East Users

For users in the European Union, European Economic Area, or the Middle East: the limitations in this section apply only to the extent that they are reasonable, proportionate, and consistent with applicable mandatory consumer protection and civil liability laws. Nothing in these Terms shall exclude or limit liability for fraud, gross negligence, willful misconduct, death, or personal injury caused by negligence.

9.4 Americas and Asia-Pacific Users

For users in the Americas and Asia-Pacific regions: the limitations and exclusions of liability set forth above shall apply to the maximum extent permitted by applicable law, regardless of the basis of liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless Marotino, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, your violation of any applicable law or regulation, or any content or information you submit through the Platform.

For users in the European Union: this indemnification obligation applies only to the extent that the relevant claim arises from your willful misconduct, negligence, or breach of these Terms, and does not affect any mandatory rights you may have under applicable consumer protection law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to your region, as set forth below:

11.1 EU and Middle East Users

If you are located in the European Union, European Economic Area, the United Kingdom, or the Middle East, these Terms are governed by the laws of the Republic of Cyprus. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts of Limassol, Cyprus.

11.2 Americas and Asia-Pacific Users

If you are located in the Americas or the Asia-Pacific region, these Terms are governed by the laws of the State of Florida, United States. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms by contacting Marotino at hello@marotino.com. Both parties shall use good-faith efforts to resolve the dispute informally within thirty (30) days of the date the dispute is raised.

12.2 EU and Middle East Users

If the dispute cannot be resolved informally, users in the European Union, European Economic Area, the United Kingdom, or the Middle East may bring a claim before the competent courts as described in Section 11.1. EU consumers may also be entitled to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

12.3 Americas and Asia-Pacific Users

If the dispute cannot be resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms for users in the Americas or Asia-Pacific shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Miami, Florida, in the English language, by a single arbitrator.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions.

14. Modifications

Marotino reserves the right to modify, amend, or update these Terms at any time in its sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and, where required by applicable law, provide additional notice. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes.
